5 Contract Clauses Every Freelancer Must Include (And Why)

Why verbal agreements fail freelancers

Most freelance disputes don't happen because clients are dishonest. They happen because two people remembered the project differently. Scope, deadlines, revision rounds, payment timing — these details feel obvious at the start and become contentious by the end.

A contract doesn't signal distrust. It signals professionalism. Clients who have hired good freelancers before expect a contract. Here are the five clauses that matter most.

1. Scope of work (with an out-of-scope clause)

Describe exactly what you will deliver: deliverables, formats, number of pages, platforms, languages. Then add a sentence that says anything outside this scope will be scoped and quoted separately.

Without this clause, 'just one small change' has no limit. With it, you have a reference point for every new request.

2. Payment terms and late fees

Specify your payment schedule (e.g., 50% deposit upfront, 50% on delivery), your accepted payment methods, and your payment due date (e.g., net 14 days from invoice date).

Add a late fee clause: typically 1.5–2% per month on overdue balances. Most clients will never trigger it — but having it in writing dramatically speeds up payment.

3. Revision rounds

Define how many rounds of revisions are included in the project fee, what counts as a revision vs. a new requirement, and what the cost is for additional rounds.

Without this clause, revision cycles can double the time spent on a project with no additional revenue. Two or three rounds is standard for most creative and technical work.

4. Intellectual property transfer

Specify when IP transfers to the client — typically upon receipt of final payment. Until payment is made, the work remains yours. This gives you leverage if payment is delayed and prevents clients from using deliverables they haven't paid for.

5. Kill fee (early termination clause)

If a client cancels a project mid-way, you've already invested time and turned down other work. A kill fee — typically 25–50% of the remaining project fee — compensates you for this.

Frame it as mutual protection: if you cancel, you refund work not yet delivered. If they cancel, they pay the kill fee. This is standard in agency contracts and clients who understand the industry will not object.
